1. License of Use
Upon purchase, we grant you a limited, non-transferable, non-sublicensable license to access and use the course content solely for your personal educational use. This license is restricted to the individual who registered for the course. You are not permitted to share, transfer, or sublicense this license to any other individual or entity. Unauthorized distribution or sharing of course content is strictly prohibited and may result in termination of your access without refund.
2. No Guarantee of Passing the NCLEX Exam
Our course is designed as a preparatory tool to support your study efforts for the NCLEX exam. However, we do not guarantee that completing this course will result in passing the NCLEX exam. Success on the NCLEX depends on a variety of factors, including individual effort, prior knowledge, and exam preparation.
By enrolling in this course, you acknowledge that passing the NCLEX exam is your own responsibility, and our course should be used as a supplementary resource only. We make no warranties or guarantees regarding your performance on the NCLEX or any similar exams.
3. Right to Revoke Access
We reserve the right to suspend or revoke your access to our course content and related materials at our sole discretion, without notice, under the following circumstances:
- Non-payment or Late Payment: Failure to complete payment in full, late payments, or failure to make scheduled installment payments.
- Chargebacks: If a chargeback is initiated on any payment, your access may be immediately revoked.
- Violation of Terms: If you violate any of the terms outlined in this agreement, including but not limited to sharing account information, infringing intellectual property rights by copying or redistributing course content, or transferring access to another person.
- Defamation or Harassment: Engaging in defamatory behaviour, making disparaging comments about our brand, or harassing other students or team members (whether in group settings such as social media or other forums).
- Unfounded Claims or Legal Action: Initiating claims against us in a manner that violates these Terms and Conditions or without just cause.
Access to our course content is contingent upon compliance with these terms. We retain the right to determine any actions that violate these terms and to act accordingly, including by restricting or permanently revoking access without refund.
4. Prohibition of Sharing Course Content
All course content, including videos, written materials, quizzes, and any other resources provided, is for your personal educational use only and is protected by intellectual property laws. You are strictly prohibited from sharing, copying, reproducing, screen recording, or distributing any course content in any form or by any means, electronic or mechanical, without our prior written consent. This includes but is not limited to:
- Screen recording or capturing any video or other course materials,
- Sharing or distributing access to course content with others,
- Posting or uploading course materials to any external platform, website, or social media.
Unauthorized sharing or reproduction of course content may result in immediate revocation of access to the course without refund, and you may also be subject to legal action for infringement of intellectual property rights.
5. Prohibition of Copying or Recreating Course Content
All course content, including but not limited to videos, written materials, strategies, methodologies, and instructional resources, is the intellectual property of The Clever Prep. You are strictly prohibited from copying, reproducing, or recreating any part of this course content in any format. This includes, but is not limited to:
- Copying or distributing course materials,
- Recreating, adapting, or modifying the content for personal or commercial use,
- Using our unique teaching methods, strategies, or proprietary information for any purpose other than personal learning,
- Developing, marketing, or selling any content that is substantially similar to or derived from this course.
Any attempt to use or replicate course content for commercial purposes, to teach others, or to create similar content will result in immediate revocation of access without refund and may lead to legal action for intellectual property infringement.
6. Disclaimers for Course Content
All course content is provided on an “as is” basis without warranties of any kind, either express or implied. We make no representations or warranties regarding the accuracy, completeness, or reliability of any content provided. By using our course, you acknowledge and agree to the following:

If a refund request is determined to be ineligible, we are under no obligation to issue a refund or credit of any kind. By enrolling in this course, you acknowledge and accept this policy, and you agree not to initiate chargebacks or claims that contradict these terms.
9. Protection of Reputation
By enrolling in this course, you agree to conduct yourself respectfully and professionally in all communications related to The Clever Prep, including but not limited to interactions within the course platform, social media, emails, and forums.
You agree not to make or share statements, comments, or content that could be considered offensive, defamatory, abusive, profane, hateful, vulgar, obscene, libelous, pornographic, upsetting, insulting, misleading, discriminatory, sexist, racist, or otherwise damaging. Additionally, you agree not to engage in any behaviour or make any statements, online or offline, that disparage, discredit, or harm our reputation, brand, or goodwill.
Any behaviour that violates this provision may result in immediate termination of your access to the course without refund, and you may be subject to further legal action.
10. Account Security and Confidentiality
You are responsible for maintaining the confidentiality of your account information, including your login credentials. You agree not to share your username, password, or any other details that would allow another person to access your account. Unauthorized sharing of your account details with any other individual is strictly prohibited and may result in suspension or termination of access to the course without refund. Please notify us immediately if you believe your account has been compromised.
